We have a Team Leader who wasn't really motivating the team so we created another position to move him to, he then verbally agreed to take another position within the Group of Companies which has fallen through, where do we stand as we have filled the Team Leader position

In practice verbally agreeing to another job and resigning from your existing job are two different things. If the other job has fallen through and they haven't resigned from their current job (and it may be complicated by it being a group company) then you are stuck with them.
I am not sure of the status of this other job you created? Did they ever accept that?
